TrapWire® Inc. End User License Agreement (EULA)

The user license granted to you for access to the TrapWire (TW) system is for your use only under the terms of this EULA. You have been granted a non-transferable license for use of the TrapWire application. This license may be terminated without notice if the conditions outlined below are violated. This EULA defines TrapWire Inc.‘s responsibilities to you and your responsibility to TrapWire Inc. and to the other members of the TrapWire network.

User Responsibilities: User shall use the Service solely for the protection of the site(s) or areas as defined in the contract with your organization and shall not:

i. License, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the service available to any third party, other than as contemplated by my organization’s contract with TW;

ii. Use the service or TrapWire technology to monitor a geographic location that is outside of or not a part of the locations as defined in the contract with TW;

iii. Share or disclose report data or any other information entered into the TrapWire system by other organizations on the TrapWire network, without the prior consent of TrapWire Inc. or of the site/organization whose reports are to be shared or disclosed;

iv. Send spam or otherwise duplicative, fraudulent or unsolicited messages in violation of applicable laws;

v. Send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy or civil liberties rights;

vi. Send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs;

vii. Interfere with or disrupt the integrity or performance of the service or the data contained therein; or]

viii. Attempt to gain unauthorized access to the Service or its related systems or networks;

ix. Share user subscriptions or passwords; User identifications and passwords for access to the service are user-specific and cannot be shared with any other individual. User passwords will be distributed by Customer-appointed points of contact.

Intellectual Property Protection: User shall not:

i. Modify, copy, duplicate, or create derivative works based on the Service or TrapWire Technology;

ii. Authorize, assist or cause others to modify, copy, duplicate or create derivative works based on the service or TrapWire Technology;

iii. Create Internet “links” to or from the service, or “frame” or “mirror” any content forming part of the service, other than on Customer’s own intranets or otherwise for its own internal business purposes;

iv. Derive or attempt to derive source code, disassemble, reverse engineer, or decompile the Service, TrapWire Technology, or other objects that embody the service or TrapWire Technology, for any reason; or

v. Derive or attempt to derive source code, disassemble, reverse engineer, or decompile the service, TrapWire Technology, or other objects that embody the service or TrapWire Technology, or access it in order to (A) build a competitive commercial or government-funded product, technology or service, (B) build a product or service using similar trademarked and/or patented ideas, features, functions or graphics of the service, or © copy any ideas, features, functions or graphics of the Service.

Provision of Service: TW Inc. shall make the service available to Users pursuant to the terms and conditions set forth in this Agreement and the TrapWire License Agreement (TW TLA), or in a separate contract with your organization. During the term of the contract, the service will not materially decrease from that available as of the effective date.

Specifically, TrapWire Inc. shall:

i. Provide reasonable telephone, online and email support to customers during normal business hours defined as 8AM to 8PM EST, Monday to Friday, exclusive of holidays; and

ii. Use commercially reasonable efforts to make the Service generally available 24 hours a day, 7 days a week, except for:

a. Planned downtime (of which TW Inc. shall give at least 8 hours notice and which TW Inc. shall schedule, to the extent reasonably practicable, during the weekend hours from 12:01 a.m. EST Saturday to 5:00 a.m. EST Monday); or

b. Downtime caused by circumstances beyond TW Inc.‘s reasonable control, including acts of God (flood, fire, earthquakes, etc.), acts of government, civil unrest, acts of terror, strikes or other labor problems not involving TW Inc. employees, computer or telecommunications failures or delays involving hardware or software not within TW Inc.‘s possession or reasonable control, and network intrusions or denial of service attacks.

Reservation of Rights. User acknowledges that in providing the Service, TW Inc. utilizes

(i) the TrapWire name, the TrapWire logo, the TrapWire domain name, the product and service names associated with the Service, and other trademarks and service marks;

(ii) certain audio and visual information, documents, software and other works of authorship; and

(iii) other technology, software, hardware, products, processes, algorithms, user interfaces, know-how and other trade secrets, techniques, designs, inventions and other tangible or intangible technical material or information (collectively, “TrapWire Technology”) and that the TrapWire Technology is covered by intellectual property rights owned or licensed by TW Inc. (collectively, “TW Inc. IP Rights”). Other than as expressly set forth in the TW TLAA, no license or other rights in or to the TrapWire Technology or TW Inc. IP Rights are granted to Customer or User, and all such licenses and rights are hereby expressly reserved.

i. Modify, copy, duplicate, or create derivative works based on the Service or TrapWire Technology;

ii. Authorize, assist or cause others to modify, copy, duplicate or create derivative works based on the service or TrapWire Technology;

iii. Create Internet “links” to or from the service, or “frame” or “mirror” any content forming part of the service, other than on Customer’s own intranets or otherwise for its own internal business purposes;

iv. Derive or attempt to derive source code, disassemble, reverse engineer, or decompile the Service, TrapWire Technology, or other objects that embody the service or TrapWire Technology, for any reason; or

Derive or attempt to derive source code, disassemble, reverse engineer, or decompile the service, TrapWire Technology, or other objects that embody the service or TrapWire Technology, or access it in order to (A) build a competitive commercial or government-funded product, technology or service, (B) build a product or service using similar trademarked and/or patented ideas, features, functions or graphics of the service, or © copy any ideas, features, functions or graphics of the Service.

TrapWire® Helios

Mobile Messaging Terms and Conditions

The following Terms and Conditions apply to licensed users of TrapWire Helios who have downloaded the TrapWire Mobile App (“the app”) and/or have configured their mobile phone number on their TrapWire account.

1. Product Description

Helios enables licensed users to send and receive mobile alerts when an urgent situation (e.g., active shooter incident) has occurred. Recipients of these alerts are determined based on various criteria, as determined by the user’s organization, such as the user’s proximity to the incident, if known, and the user’s organizational hierarchy. When you are a recipient of such an alert, you may receive it via mobile Push Notification or SMS message to your mobile number on record.

2. Push Notifications

When you install the app on your mobile device, you will have the choice to opt-in to push notifications by providing the app with permission to do so when prompted by your device’s operating system. Such notifications are generated when a new TrapWire Incident Report, Secure Message, or Helios Urgent Alert is generated that affects your user account, as designated by your account settings and permissions.

3. Opting Out of Push Notifications

You have several options to opt-out of push notifications from TrapWire.

a. Uninstall the TrapWire Mobile App.

b. Use your device’s operating system settings to disallow the app from generating push notifications.

c. Contact TrapWire at [email protected], requesting to have push notifications disabled for your account.

4. SMS Messages

When your TrapWire Helios account is established, you can opt-in for delivery of SMS messages to your mobile number on record. These SMS messages will be delivered to you when you are a recipient of an Urgent Alert. The opt-in is performed on your account settings page. Contact [email protected] for detailed instructions on how to opt-in.

5. Opting out of SMS Messages

a. You have several options to opt-out of SMS messages from TrapWire.
b. Reply “STOP” to an SMS message you receive from TrapWire, which will unsubscribe you from future SMS messages.
c. Access your TrapWire account settings page/screen and choose to disable SMS messages.
d. Contact us at [email protected], requesting to have SMS messages disabled for your account.

6. We are able to deliver SMS messages to the following major carriers:

AT&T, Verizon Wireless, Sprint, T-Mobile, MetroPCS, U.S. Cellular, Alltel, Boost Mobile, and Virgin Mobile.

Neither TrapWire nor the carriers are liable for delayed or undelivered messages. **

7. SMS Short Code Message Frequency

TrapWire will only send you SMS short code messages when you are a recipient of an Urgent Alert notification (e.g., an active shooter or other potentially threatening activity), which is based on your proximity to the event and/or your organizational hierarchy. This may also include EXERCISE alerts initiated by designees of your organization, for the purposes of testing the program’s effectiveness. The number of SMS messages sent to you is estimated not to exceed 10 per month, although the actual number may vary based on frequency of occurrence of urgent events to which you are deemed affected.

8. As always, message and data rates may apply, including when responding to any SMS message you receive from TrapWire. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. For all questions about the services provided by TrapWire and associated SMS short codes, you can send an email to [email protected].

9. TrapWire will never send you marketing or promotional messages via Push Notification or SMS message, nor will we sell your data to others for that same purpose.
